{"id":5930,"date":"2016-05-03T10:04:41","date_gmt":"2016-05-03T10:04:41","guid":{"rendered":"https:\/\/hasch.lcmx.at\/newsletter\/newsletter-06-2016-neuerungen-bei-der-gesbr-handlungsbedarf-bei-syndikatsvertraegen\/"},"modified":"2023-11-30T05:12:42","modified_gmt":"2023-11-30T05:12:42","slug":"newsletter-06-2016-news-at-the-gesbr-need-for-action-in-syndicate-contracts","status":"publish","type":"newsletter","link":"https:\/\/www.hasch.eu\/en\/newsletter\/newsletter-06-2016-news-at-the-gesbr-need-for-action-in-syndicate-contracts\/","title":{"rendered":"NEWSLETTER 06-2016: NEWS AT THE GesbR &#8211; NEED FOR ACTION IN SYNDICATE CONTRACTS"},"content":{"rendered":"<p>On July 1, 2016, a change in the law in the area of \u200b\u200bcivil law companies (GesbR), which was introduced two years ago, comes into force, which brings significant changes in the area of \u200b\u200btermination rights and therefore has significant (negative) effects on existing companies, especially on syndicates based on syndicate agreements but also other internal companies, such as working groups.<br \/>\nWhile complete exclusions or waivers of termination were previously effective in such internal companies, this will no longer be the case from July 1, 2016, but a new, <strong>mandatory statutory termination regulation<\/strong> will apply, which enables every shareholder at the end of a financial year to to terminate the company with six months&#8217; notice.<\/p>\n<p>It is obvious that this is highly problematic, especially for <strong>syndicate contracts<\/strong> and the long-term voting commitments agreed therein, and is by no means desired by the parties involved, but cannot be avoided due to the mandatory nature of the legal provision.<br \/>\n<strong>Although the legislature is currently working on a possible correction<\/strong>\u00a0to the existing legal situation, it is questionable whether this can be implemented in time before July 1, 2016.
